Your role

As Senior Legal Counsel Corporate you are the go-to person to identify and advise on matters of corporate law applicable to Aegon Ltd. as the publicly listed holding company of an international financial services group. Your advice will provide strategic direction and will ensure that internal stakeholders, including the Board of Directors and the Executive Committee, are informed about and able to act in accordance with relevant legal requirements in a practical manner.

Your responsibilities include navigating complex legal landscapes and finding innovative solutions to ensure Aegon not only meets legal requirements but is also able to operate efficiently and seize business opportunities. This includes:

Providing (strategic) corporate law and governance advice in a multi-jurisdictional environment
Assisting in the preparation of corporate filings, including Aegon’s integrated annual report
Tackling capital related questions (share buy-backs, regulatory filings, etc.)
Preparing general meetings of shareholders, including stakeholder management
Advising on matter of corporate structuring (including subsidiaries, joint-ventures, affiliates and other shareholdings)

The Senior Legal Counsel Corporate reports to the Head of Legal.

Your profile

We are looking for an enthusiastic, inquisitive and responsible team player with the following characteristics:

Master’s degree in corporate law (Dutch or Anglo-American)
~6-10 years of relevant work experience in a large listed corporate or at a major law firm (e.g. as a candidate civil law notary or similar)
Good understanding and working knowledge of corporate law as it applies to listed companies
Excited to work in a global context and a multi-stakeholder environment
Excellent communication skills
Fluent in English; mastery of Dutch is an asset but not a requirement
Good planning, prioritization and goal setting abilities; able to cope with time pressure and a changing work environment

Group Legal

The Senior Legal Counsel Corporate is part of Group Legal. The Group Legal function resides under Aegon Ltd.’s General Counsel together with Government and Policy affairs, Group Compliance, and the Board Office and there is frequent interaction between these functions.

The Group Legal team in The Hague currently consists of the General Counsel, the Head of Legal, seven legal counsels (each with their own expertise), a paralegal and two assistants and also comprises the Group Legal Digital & Privacy Office which has its own team of professionals. Aside from Corporate law, Group Legal’s functions include Regulatory & ESG, Capital Markets & Derivatives, M&A legal support, Privacy, Contract Law and general legal support to Aegon Ltd.’s other departments.

Most projects are staffed with several counsel and there is frequent interaction and alignment within the team. Together with the rest of Aegon Ltd.’s Corporate Center, Group Legal will move offices to World Trade Center Schiphol in 2025.
